Release and Consent to Use Name, Credentials and Statements ("Release")

1. By expressing my consent below, I irrevocably grant to Keypath Education Australia Pty Ltd, the educational services partner of Melbourne Business School Limited (“University”), and their related bodies corporate, assigns, and those acting with their authority, (collectively, “Keypath”), the worldwide, royalty-free, non-exclusive and perpetual right and license to obtain, take, record and use:

   1. my name, program I studied at the University, job title, and employer (collectively, my “Name and Credentials”);
   2. my voice, appearance, likeness, image, form and photographs, pictures, portraits, films, movies and videos of me (collectively, my “Likeness”); and
   3. endorsements, testimonials, biographical information, letters, e-mails and other statements from me (collectively, my “Statements”),

   that are obtained, taken or recorded and supplied by me to Keypath.

2. My Name and Credentials, Likeness and Statement may be used:
   1. in any and all forms and media, and in all manners, without limitation as to frequency or duration; and
   2. for any lawful purposes, commercial and/or non-commercial, including, but not limited to, editorial, advertising, marketing and promotional materials related to Keypath’s products and services.
       
3. Keypath will have the right to attribute my Statements to me, as an expression of my personal experience and beliefs, and to use my Name and Credentials and Likeness in association with my Statements, in Keypath’s sole discretion.
    
4. I waive any rights that I may have regarding the use of my Name and Credentials, Likness and my Statements by Keypath as set forth in this Release, including, without limitation, any right to:
   1. inspect, approve or object to such use or to the editorial, advertising, sales, marketing and promotional materials, or other materials, with which my Name and Credentials, Likeness and my Statements may be used; or
   2. in which my Name and Credentials, Likeness and my Statements may appear.
       
5. I grant, assign and convey, and agree to grant, assign and convey, to Keypath all right, title and interest in my Statements, and in any and other materials (including but not limited to photos and videos) showing my Name and Credentials and Likeness.
    
6. I represent and warrant that:
   1. I am providing any Statements of my own free will and I have not been paid a monetary sum for doing so; and
   2. my Statements, and any photographs, videos and other materials depicting my Name and Credentials and Likeness, that I have provided (or will provide) to Keypath are (and will be) original and do not (and will not) infringe upon the copyright or other proprietary rights of any other person or entity.
       
7. I acknowledge that I will receive no compensation from Keypath other than Keypath’s agreement in clause 9, as well as any goodwill and publicity that I may receive relating to use by Keypath of my Name and Credentials, Likeness and/or my Statements as set forth in this Release.
    
8. I release and hold harmless Keypath (including any third parties acting on behalf of Keypath) and the University from any and all claims, arising out of or in connection with Keypath’s use of my Name and Credentials, Likeness and/or my Statements as set forth in this Release.
    
9. I have read this Release, I understand the contents and I am voluntarily agreeing to be legally bound by its terms. I enter into this Release in consideration for Keypath’s agreement to, where it uses my Statements, present those Statements as an expression of my own experience and beliefs without changing their meaning.
    
10. This Release constitutes the complete understanding between me and Keypath regarding the subject matter and supersedes all prior agreements, negotiations and discussions regarding the subject matter. No modification of this Release will be effective unless made and agreed in writing by both me and Keypath.
